1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and EazyPromo ("we," "our," or "us") governing your access to and use of the EazyPromo platform, including our website, mobile applications, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

EazyPromo is a loyalty program platform that enables businesses to create and manage digital loyalty programs, and allows users to participate in these programs, earn rewards, and redeem benefits. The Service includes:

  • Digital loyalty cards and reward tracking
  • QR code scanning for points collection and reward redemption
  • Business management tools for loyalty program administration
  • Analytics and reporting features
  • Communication tools between businesses and their customers

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You may register using your email address or through third-party authentication services (such as Google). You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Account Termination

You may delete your account at any time through your account settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in any activity that may harm the Service or other users.

4. User Conduct

When using the Service, you agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others, including intellectual property rights
  • Use the Service for any fraudulent or deceptive purposes
  • Attempt to manipulate loyalty programs, points, or rewards dishonestly
  • Share QR codes or account access for unauthorized point collection
  • Create multiple accounts to abuse loyalty programs
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated means to access the Service without our permission
  • Upload or transmit viruses, malware, or other harmful code
  • Harass, threaten, or harm other users or businesses
  • Post false, misleading, or defamatory content

5. Loyalty Programs and Rewards

5.1 Program Terms

Each business operating a loyalty program through our Service may establish its own specific terms, conditions, and rules. These business-specific terms are in addition to these Terms of Service. It is your responsibility to review and understand the terms of each loyalty program you participate in.

5.2 Points and Rewards

Points, stamps, and rewards earned through the Service have no cash value and cannot be exchanged for money unless explicitly stated by the participating business. We are not responsible for the availability, quality, or fulfillment of rewards offered by businesses.

5.3 Program Changes

Businesses may modify, suspend, or terminate their loyalty programs at any time. We are not liable for any changes businesses make to their programs, including changes to reward structures, point values, or program availability.

6. Business Accounts

If you create a business account to manage loyalty programs, you additionally agree to:

  • Provide accurate business information
  • Honor rewards and commitments made to program participants
  • Comply with all applicable laws regarding promotions and consumer protection
  • Not use the Service to deceive or mislead customers
  • Maintain appropriate permissions for any team members you invite

7. Fees and Payment

7.1 Subscription Plans

Certain features of the Service require a paid subscription. We offer the following subscription plans with monthly fees:

  • Starter Plan: €26/month — up to 300 Monthly Active Users, 8 team members
  • Business Plan: €35/month — up to 900 Monthly Active Users, 20 team members
  • Pro Plan: €69/month — up to 2,000 Monthly Active Users, 50 team members
  • Enterprise Plan: Custom pricing — for businesses exceeding Pro plan limits, contact us at [email protected]

Full details of each plan's features are available on our Pricing page. By subscribing to a paid plan, you agree to pay the applicable fees.

7.2 Billing

Subscription fees are billed monthly in advance on a recurring basis. Payments are processed through our payment partner, Paddle. Your subscription will automatically renew each month until canceled.

7.3 Plan Changes

You may upgrade or downgrade your subscription plan at any time. When upgrading, you will gain immediate access to the new plan's features. When downgrading, the change will take effect at the start of your next billing period, and you will retain access to your current plan's features until then.

7.4 Cancellation

You may cancel your subscription at any time through the Paddle customer portal or by contacting our support team. Upon cancellation, your subscription will remain active until the end of the current billing period, after which you will lose access to paid features.

7.5 Refund Policy

We want you to be satisfied with our Service. The following refund policy applies:

  • Initial Purchase: If you are not satisfied with the Service, you may request a full refund within 14 days of your initial subscription purchase.
  • Subscription Renewals: Automatic renewal payments are non-refundable. Please cancel your subscription before the renewal date if you do not wish to continue.
  • Prorated Refunds: We do not provide prorated refunds for unused portions of a billing period when canceling mid-cycle.
  • Exceptions: Refunds outside of the 14-day window may be considered on a case-by-case basis for technical issues that prevent you from using the Service, provided you contact us within 7 days of the issue occurring.

8. Intellectual Property

8.1 Our Property

The Service, including its original content, features, and functionality, is owned by us and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

8.2 Your Content

You retain ownership of any content you upload to the Service (such as business logos or profile images). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content solely in connection with operating the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free. We do not endorse or guarantee any businesses, loyalty programs, or rewards available through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us, if any, during the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless EazyPromo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where the Service provider is established. Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes indicates your acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements or understandings.
